O’Reilly Automotive (ORLY) stock dropped more than 7% after Bloomberg reported that O’Reilly is putting together a cash bid for Genuine Parts Company’s NAPA auto parts business. The deal could be worth more than $10 billion for a business that’s valued at $15.4 billion overall.

Here’s the twist: analysts actually like the idea.

  • TD Cowen reiterated its buy rating and $117 price target on O’Reilly Automotive stock,
  • D.A. Davidson did the same with a $114 target, calling the deal “accretive.” Yet shares still fell hard.
  • TD Cowen’s Max Rakhlenko ran the numbers and found the deal could boost earnings meaningfully.
  • For the combined Global Automotive business, he estimates 16% accretion in fiscal 2027 and 19% in fiscal 2028.
  • Looking just at the North America piece, that’s more like 5% accretion in 2027 and 9% in 2028, though those numbers could shrink if more corporate overhead gets layered on.

Part of the appeal is the price tag. O’Reilly Automotive stock currently trades at 19 times its fiscal year EBITDA. The NAPA deal, on the other hand, is valued at just 7 to 13 times EBITDA. That’s a big discount, which is why analysts see room for the deal to pay off over time.

Still, the report was unconfirmed by O’Reilly itself, and that uncertainty seems to be what’s weighing on the stock today.
