Biogen (BIIB) announced plans to acquire San Diego-based private biotech RayThera in a deal worth up to $1 billion, with the move aimed at bolstering its immunology drug pipeline.

BIIB stock was trading around $198 before the announcement and dipped marginally lower in after-hours trading on Wednesday.
The deal includes an upfront cash payment to RayThera shareholders, with additional payments tied to future clinical and regulatory milestones. The full $1 billion would only be reached if all milestone targets are hit.
RayThera focuses on small-molecule therapies for inflammatory and immune-related diseases. Its portfolio includes several anti-inflammatory drug candidates.
The lead program from RayThera is expected to enter Phase 1 clinical trials in early Q3 2026. That’s a relatively early-stage asset, meaning Biogen is betting on long-term pipeline value rather than near-term revenue.
Once the deal closes, Biogen will take over development, manufacturing, and global commercialization of all acquired drug candidates.
This is not Biogen’s first major deal of 2026. In March, the company acquired Apellis Pharmaceuticals for approximately $5.6 billion, adding kidney disease treatments to its portfolio.
The RayThera acquisition is smaller in scale but fits into the same broader strategy — using dealmaking to fill pipeline gaps and diversify beyond Biogen’s core neurology focus.
The transaction is expected to close in Q3 2026, subject to standard closing conditions and regulatory approvals.
Wall Street currently rates BIIB stock as a Moderate Buy, based on 16 Buy ratings and 9 Hold ratings over the past three months.
The average analyst price target sits at $223.00, which would represent roughly 12.25% upside from current levels.
That consensus suggests analysts see value in Biogen’s pipeline strategy, even as the stock has faced pressure in recent months.
The RayThera deal adds anti-inflammatory candidates to a pipeline that already spans neurology and rare disease. Whether the lead program delivers in Phase 1 testing will be a key watch point for investors in the second half of 2026.
