Auddia Inc. has approved a definitive merger agreement for a business combination with Thramann Holdings, LLC, a privately held holding company controlling three early stage AI-native companies. The transaction, expected to close in the second quarter of 2026, will restructure Auddia into a holding company named McCarthy Finney, which will trade under the ticker symbol MCFN. Auddia shareholders are expected to own approximately 20% of the combined company at closing, with founder Jeff Thramann owning the remaining 80%.
The merger represents a significant strategic shift, positioning the new entity at the intersection of artificial intelligence and web3 technologies. Thramann, a serial entrepreneur named on over 130 patents, stated that he believes there is an incredible opportunity for a company at this juncture to harness these technologies to build significant value across numerous verticals. The three Thramann Holdings entities—LT350, Influence Healthcare, and Voyex—will become fully owned subsidiaries of McCarthy Finney alongside Auddia.
Based on a discounted cash flow analysis of McCarthy Finney’s forward-looking 10-year pro forma completed by management, the company estimates the base case valuation to be $250 million. The closing is conditioned on Auddia having at least $12 million cash on hand to provide runway to fund McCarthy Finney to key future business milestones. LT350 focuses on distributed AI data centers using proprietary solar parking lot canopy infrastructure. Influence Healthcare leverages AI and blockchain to empower surgeons in value-based care models. Voyex is a travel services platform utilizing agentic AI and charter aircraft to improve travel experiences. Auddia’s existing audio AI platform, including its faidr superapp and Discovr Radio, will continue as part of the combined company’s portfolio.
Jeff Thramann will remain as CEO of McCarthy Finney, with John Mahoney continuing as CFO. Current Auddia board members are expected to continue on the combined company’s board. The merger follows a letter of intent announced in August 2025 and represents a consolidation of Thramann’s entrepreneurial ventures under a single public entity. The combined company aims to leverage AI infrastructure, blockchain strategies, and digital currency approaches to reinvent markets across multiple industries.
